Who can open a business in Poland?

Any foreign national legally residing in Poland can establish a company. The Sp. z o.o. (or sp z o) is a popular legal form, operating as an independent legal entity authorized to conduct business activities, including international trade.

  • Sp. z o.o. can have one or multiple founders, though it is recommended that at least two founders be present to reduce operational costs. 
  • Social security contributions of approximately EUR 300 per month are required if the registration involves a sole founder.
  • A director who is also the founder is not obligated to receive an official salary, making this company registration a cost-effective option for entrepreneurs in Poland.

Key details for business registration in Poland

  • For Sp. z o.o. registrations, the minimum share capital is PLN 5,000 (EUR 1,200). This amount does not need to be deposited in a bank account but can be held in the company’s cash register.
  • A minimum shareholder contribution of as low as PLN 50 is acceptable for registering a Sp. z o.o.
  • A registered address in Poland is mandatory for all companies.
  • During the business setup, you must specify one main activity along with several additional ones if applicable.
  • The sp z allows the appointment of one or more directors. These can include founders, partners, relatives, or third parties chosen by the founder.
