Which business structure to choose in Switzerland?
The first step is choosing the structure for your business, as it will affect the registration procedure, taxation, reporting, and auditing. Our team helps register two types of organizations in Switzerland:
GmbH (Gesellschaft mit beschränkter Haftung) — Equivalent to Ltd:
- Partners are only liable up to their contribution in the share capital
- Minimum number of founders: one
- Swiss resident must be on the board of directors, but no residency or nationality restrictions apply to shareholders
- Founder and director can be the same person
- Minimum share capital for GmbH: 20,000 CHF / USD, with an open registry of owners. It can be fully contributed in cryptocurrency
- Annual reporting is mandatory according to the canton’s regulatory requirements
- An independent audit for GmbH is not required
AG (Aktiengesellschaft) — Swiss Corporation:
- Minimum number of shareholders: one. Shareholders can be individuals or legal entities, residents or non-residents of Switzerland
- Swiss resident must be appointed as a director (an individual), so be prepared to find such a director
- Minimum share capital for an AG: 100,000 CHF / USD, with a closed registry of owners. Half of the capital must be deposited (cryptocurrency is allowed)
- The capital is transferred to a temporary account before registration and can be used later
- Nominal value of shares must be at least 100 CHF
- Legal address in Switzerland is mandatory
- Annual financial statements, turnover reports, and profit statements are required
- Independent audits for AGs are decided on a case-by-case basis
